We participate in complex M&A operations, including mergers, MBOs (Management Buy-Out), MBIs (Management Buy In) and BIMBOs (Management Buy In Management Buy Out). Whenever the size of the company allows it, we will personally carry out general legal and labor law related due diligence, and coordinate it with third parties in those cases where the business volume requires its externalization. In addition, in those cases where we act on behalf of selling party, we support and contribute to the completion of the due diligence carried out by the buyers. Furthermore, we also have vast experience in negotiating and coordinating M&A operations on behalf of Spanish companies abroad.
This kind of transactions involves far more than just signing a purchase agreement. They are typically preceded or followed by other contracts such as are the letters of intent (LOI) or memoranda of understanding (MOU), confidentiality covenants, agreements between partners, labor or commercial contracts binding the sellers or managers of the company, and other agreements that a specific operation may require.
We strive to always support our clients in a strategic way, either as a seller or a buyer, in order to understand their specific expectations and detect the obstacles they might be facing. Moreover, it is essential to us to provide our customers with a comprehensible insight regarding their strengths and weaknesses, as well as providing them with all the relevant data required in order to face the process correctly and make it as simple as possible. Our goal is to ensure our clients’ success through a well-executed legal part of an M&A operation without compromising the continuously flawless development of business operations.
