Joint Ministerial Decision 46982/2025 introduces a clearly defined framework of administrative penalties for violations related to the General Commercial Registry (GEMI), pursuant to Article 50 of Law 4919/2022. These penalties directly concern Société Anonyme (S.A.), Limited Liability Companies (Ltd.), Private Companies (P.C.), and foreign companies with branches in Greece, provided they fail to comply with their registration and publicity obligations under GEMI.
The newly enacted Law 5164/2024 constitutes Greece’s national transposition of Directive 2022/2464 of the European Union, reinforcing the regulatory requirements for corporate sustainability disclosures. By broadening the scope of transparency obligations, the legislation extends reporting requirements to a greater number of entities, particularly small and medium-sized listed enterprises, as well as third-country entities operating within the Greek market.

As of November 30th, stamp duty burden, a rather anachronistic piece of transactional tax-imposed back in 1931, will be abolished in many significant transactions, such as gratuitous loans, insurance transactions, capital increases for non-profit entities and statutory interest for loans, cash facilitations, and advances.
