{"id":6238,"date":"2021-08-27T18:01:18","date_gmt":"2021-08-27T16:01:18","guid":{"rendered":"https:\/\/www.ecovis.com\/berlin-gruendung\/?p=6238"},"modified":"2021-09-07T10:21:27","modified_gmt":"2021-09-07T08:21:27","slug":"befreiung-von-%c2%a7-181-bgb-bei-musterprotokollgruendung","status":"publish","type":"post","link":"https:\/\/www.ecovis.com\/berlin-gruendung\/befreiung-von-%c2%a7-181-bgb-bei-musterprotokollgruendung\/","title":{"rendered":"Befreiung von \u00a7 181 BGB bei Musterprotokollgr\u00fcndung"},"content":{"rendered":"<p><strong>Die Befreiung des<a href=\"https:\/\/www.ecovis.com\/berlin-gruendung\/glossar\/#gf\"> Gesch\u00e4ftsf\u00fchrers<\/a> einer durch Musterprotokoll gegr\u00fcndeten UG (haftungsbeschr\u00e4nkt) von den Beschr\u00e4nkungen des <a href=\"https:\/\/www.gesetze-im-internet.de\/bgb\/__181.html\" target=\"_blank\" rel=\"noopener\">\u00a7 181 BGB<\/a> kann nicht im Handelsregister eingetragen werden, wenn der als Anlage zur Anmeldung vorgelegte neu gefasste Gesellschaftsvertrag ersichtlich eine dahingehende Regelung nicht enth\u00e4lt.<\/strong><\/p>\n<h3>Doch warum?<\/h3>\n<p>Die \u00c4nderungen der Satzung einer gem\u00e4\u00df dem gesetzlichen Musterprotokoll gegr\u00fcndeten und eingetragenen Gesellschaft unterfallen den allgemeinen Regelungen der<a href=\"https:\/\/www.gesetze-im-internet.de\/gmbhg\/__53.html\" target=\"_blank\" rel=\"noopener\"> \u00a7\u00a7 53 ff GmbHG<\/a>. Zwar ist es zur wirksamen \u00c4nderung eines gem\u00e4\u00df dem Musterprotokoll gefassten Gesellschaftsvertrages nicht erforderlich, dass der Gesellschaftsvertrag insgesamt neu gefasst wird. Indes m\u00fcssen die ge\u00e4nderten Bestimmungen zwingend vom Wortlaut des Musterprotokolls abweichen, wenn sonst inhaltlich Falsches geregelt w\u00fcrde. Die sonstigen, durch die Satzungs\u00e4nderung nicht ber\u00fchrten Regelungen sind dagegen unver\u00e4ndert zu \u00fcbernehmen.
